Terms of Service

Agreement

These Terms of Service (“Terms”) govern your access to and use of the Eden Portal at my.edenads.comand related services (“Service”), provided by Eden Advertising (“Eden,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Your account

You must be at least 18 years old and authorized to enter into contracts on behalf of the business you represent. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that happens under your account
  • Keeping your contact information accurate and up to date
  • Notifying us immediately if you suspect unauthorized access

What Eden provides

The Eden Portal gives you tools to manage your digital marketing performance, including:

  • Unified dashboards for ads, leads, reviews, and calls
  • Jerry — an AI assistant that interprets your marketing data
  • Monthly performance reports
  • Integrations with third-party platforms you connect
  • Call tracking (where provisioned)
  • Review management tools
  • Referral tracking

Specific features vary by subscription tier. We may add, modify, or remove features over time.

Third-party platforms

The Service integrates with third-party platforms (Google Ads, Meta, Google Business Profile, Twilio, Stripe, etc.). Your use of those platforms is governed by their respective terms. We are not responsible for actions, availability, or data accuracy of those third parties.

When you connect a third-party account, you authorize us to access the scopes you grant during that platform’s OAuth flow. You can revoke access at any time via the Portal’s Integrations settings or directly on the third-party platform.

Subscription + billing

The Service is offered on paid subscription tiers (Basic, Growth, Premium). By subscribing, you authorize recurring billing at the rate in effect when you subscribed. Billing is processed by Stripe.

  • Subscriptions renew automatically until cancelled
  • You can cancel at any time from Settings → Billing; cancellation takes effect at the end of your current billing period
  • We do not refund partial months unless required by law
  • We may change pricing with at least 30 days notice
  • Taxes are your responsibility where applicable

Acceptable use

You agree not to:

  • Use the Service to violate any law or regulation
  • Scrape, reverse-engineer, or attempt to extract source code
  • Share your account credentials with anyone outside your business
  • Upload malicious code, attempt unauthorized access, or disrupt the Service
  • Use the Service to send spam, harass, or violate the privacy of others
  • Connect third-party accounts you do not own or have authorization to connect
  • Use the Service in a way that violates third-party platform policies (e.g., Google Ads policies, Meta Platform Terms)

We may suspend or terminate accounts that violate these rules.

Your content and data

You retain ownership of all data you bring into or generate through the Service — leads, reviews, call recordings, campaign data, etc. By using the Service, you grant Eden a limited license to process, store, and display your data solely for the purpose of providing the Service to you.

You can export your data at any time (Settings → Reports or via the CSV export tools on individual pages). On account cancellation, we retain your data per the Privacy Policy’s retention schedule.

AI-generated content (Jerry)

Jerry’s responses are AI-generated and are provided for informational purposes. Jerry can be wrong, misinterpret your data, or suggest actions that are not right for your business. You are responsible for decisions you make based on Jerry’s output. Always verify critical decisions (budget changes, customer communications, etc.) before acting.

Intellectual property

Eden owns all rights to the Service, including the software, design, branding, documentation, and Jerry’s system prompts and tooling. You receive a non-exclusive, non-transferable license to use the Service during your subscription. Nothing in these Terms transfers ownership of the Service to you.

Service availability

We aim for high availability but don’t guarantee uptime. The Service may be unavailable for scheduled maintenance, updates, or events outside our control. We’re not liable for losses resulting from downtime.

Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT JERRY’S OUTPUTS ARE ACCURATE, COMPLETE, OR RELIABLE. WE DO NOT GUARANTEE ANY SPECIFIC BUSINESS RESULTS FROM USE OF THE SERVICE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDEN’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID EDEN IN THE 12 MONTHS PRECEDING THE CLAIM. EDEN IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST LEADS, EVEN IF ADVISED OF THE POSSIBILITY.

Indemnification

You agree to indemnify and hold Eden harmless from claims arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party rights, including platform policies of connected services.

Termination

You may cancel your subscription at any time. We may suspend or terminate your account for violation of these Terms, non-payment, or if we discontinue the Service. On termination, your license to use the Service ends immediately.

Governing law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-laws principles. Any dispute arising out of these Terms or the Service will be resolved in the state or federal courts located in Florida.

Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via email or in-portal notification at least 30 days before they take effect. Continuing to use the Service after changes take effect constitutes acceptance.
